PREMESSA
I principi contenuti nel presente Codice Etico (nel seguito anche “Codice”) si applicano ai componenti gli organi sociali, ai dirigenti, dipendenti e a tutti coloro che, stabilmente o temporaneamente, agiscono per conto della Società o sono legati con essa da un rapporto di collaborazione.
Esso è espressione di un contesto aziendale ove primario obiettivo è quello di soddisfare, nel migliore dei modi, le necessità e le aspettative degli interlocutori aziendali, mirando a raccomandare e promuovere un elevato standard di professionalità e a vietare quei comportamenti che si pongono in contrasto non solo con le disposizioni normative di volta in volta rilevanti, ma anche con i valori che la Società intende promuovere.
Questo “Codice” intende quindi fissare uno standard minimo di comportamento, toccando le aree più comuni e sensibili in cui opera il business.
Altre politiche e procedure specifiche ampliano i concetti espressi in questo Codice e coprono ulteriori argomenti relativi al business e all’organizzazione della società.

MISSION
La missione aziendale della Società consiste nel produrre e divulgare arredamenti che permettano al business della distribuzione di avere ambienti efficaci ed adeguati alle evoluzioni sociali del comportamento e della domanda dei consumatori.

A tale scopo la società desidera assicurare un solido impiego per i dipendenti agevolando il loro sviluppo personale e professionale.
Si considera, inoltre, di fondamentale importanza lo svolgimento delle prestazioni professionali da parte dei dipendenti e dei collaboratori secondo principi di diligenza, competenza, professionalità ed efficienza, onestà e lealtà.
Si favorisce il contatto con il cliente, improntando i relativi rapporti al rispetto, alla cortesia, alla correttezza e alla chiarezza.

1. NORME E PRINCIPI GENERALI DI COMPORTAMENTO

1.1. Ambito di applicazione
Tale Codice si applica ai dipendenti e a tutti coloro che cooperano allo svolgimento della sua attività ed al perseguimento dei suoi fini.
Ciascun dipendente ha la responsabilità di conformarsi a questi principi, politiche e procedure.

1.2. Rispetto delle leggi e dei regolamenti
La Società ha come principio imprescindibile il rispetto di leggi e di regolamenti vigenti.
Tutti i Destinatari devono impegnarsi al rispetto delle leggi e dei regolamenti vigenti. La Società non inizierà o proseguirà alcun rapporto con chi non intenda allinearsi a questo principio.
I Destinatari, pertanto, devono essere a conoscenza delle leggi che regolano la loro attività e dei comportamenti conseguenti: in caso di dubbio, o necessità di ulteriori approfondimenti, in relazione alla completa osservanza e interpretazione di quanto sancito dal Codice etico, essi sono invitati a rivolgersi all’Organismo di Vigilanza appositamente costituito all’interno della Società.

1.3. Correttezza e onestà
La Società opera nel rispetto dell’etica professionale e dei regolamenti interni. Il perseguimento dell’interesse della Società non può mai giustificare una condotta contraria ai principi di correttezza e onestà.
Tutte le attività lavorative di quanti operano per la Società devono essere svolte con impegno professionale, rigore morale e correttezza gestionale, anche al fine di tutelare l’immagine dell’azienda.
I comportamenti ed i rapporti di tutti coloro che a vario titolo operano nell’interesse della Società, all’interno ed all’esterno della stessa, devono essere ispirati a trasparenza, correttezza e reciproco rispetto.
Tutti i Destinatari devono agire lealmente e secondo buona fede, rispettando gli obblighi contrattualmente sottoscritti e assicurando le prestazioni richieste.
Con particolare riferimento agli amministratori, inoltre, la Società richiede che questi si adoperino attivamente al fine di proporre e realizzare i progetti, gli investimenti e le azioni industriali, commerciali e gestionali utili a conservare ed accrescere il patrimonio economico, tecnologico e professionale dell’azienda.
La Società garantisce, altresì, sui fenomeni e sulle scelte aziendali, la disponibilità di un supporto informativo tale da consentire alle funzioni ed agli organi societari, agli enti di revisione contabile e di controllo interno, nonché alle Autorità di Vigilanza, di svolgere la più ampia ed efficace attività di controllo.
Fermo restando l’obbligo di trasparenza previsto dalla legge, il personale di Caem informa il proprio superiore di situazioni di conflitto, anche potenziale, e si astiene dal prendere decisioni in merito. Il conflitto può riguardare interessi di qualsiasi natura, anche non patrimoniale, come quelli derivanti dall’intento di voler assecondare pressioni politiche, sindacali o dei superiori gerarchici.

1.4. Imparzialità
I Destinatari devono operare con imparzialità e devono assumere decisioni con rigore e trasparenza nello svolgimento di tutti i procedimenti aziendali.
I Destinatari devono respingere ogni illegittima pressione nello svolgimento della propria attività. Nel caso in cui subiscano pressioni, lusinghe o richieste di favori che riguardino la propria o l’altrui attività lavorativa oppure ricevano proposte che tendano a far venir meno il dovere di imparzialità devono informarne senza indugio l’Organismo di Vigilanza.

1.5. Corruzione privata
La Società, per rispettare il principio di correttezza e trasparenza e per trarre il maggior vantaggio possibile dalle sue attività, vigila affinché i Destinatari non subiscano o siano autori di atti di corruzione privata.
Pertanto, i Destinatari non devono violare gli obblighi e i doveri inerenti il loro ufficio per ricevere (o perché hanno già ricevuto) promesse di denaro o di utilità e vantaggi vari.
La Società vieta di ricevere qualsiasi utilità e vantaggio, o solamente di accettarne la promessa, a prescindere dalla violazione dei propri doveri.
Nello svolgimento di trattative, i Destinatari non solo devono perseguire il miglior vantaggio per la Società, dimenticando il proprio interesse personale, ma non devono accettare nessun tipo di promessa di utilità personale (denaro, beni, servizi, impiego futuro, vantaggi vari) fatta da uno degli offerenti, e nemmeno farsi influenzare da tali promesse nelle loro scelte.

1.6. Conflitto d’interesse
Per rispettare il principio di correttezza e trasparenza, nonché garantire la fiducia dei propri investitori e clienti, la Società vigila affinché i Destinatari non vengano a trovarsi in condizione di conflitto di interessi.
Deve intendersi per conflitto di interessi ogni situazione, occasione o rapporto in cui, anche solo potenzialmente, si vedano coinvolti interessi personali o di altre persone collegate (familiari, amici, conoscenti) o di organizzazioni di cui si è amministratori o dirigenti, che possano far venir meno il dovere di imparzialità.
Tutti i Destinatari devono evitare ogni situazione che possa generare conflitto con gli interessi della Società; in particolare, deve essere evitato qualsiasi conflitto d’interesse tra le attività economiche personali e familiari e le mansioni ricoperte all’interno della Società.
Tutte le scelte e le azioni intraprese dai Destinatari devono essere orientate al miglior vantaggio possibile per la Società, la quale pertanto stabilisce le seguenti regole:
• gli amministratori e il direttore generale che hanno un interesse concorrente, anche solo parzialmente, con quello della Società, non possono fare o collaborare ad operazioni (o partecipare alle relative deliberazioni), tramite le quali si dispone dei beni appartenenti o gestiti dalla stessa;
• i dipendenti e i collaboratori della Società, non possono svolgere qualsiasi affare o altra attività professionale che concorra anche solo parzialmente e indirettamente con gli interessi della Società;
Inoltre la Società ha previsto i seguenti obblighi:
• rispettare le leggi e le norme interne della Società in tutti i rapporti personali e d’affari al di fuori della Società.
• evitare atti o rapporti che potrebbero essere o apparire in contrasto con gli obblighi derivanti da ciascuna funzione della Società o con gli interessi della stessa;
• valutare i vantaggi e gli svantaggi che potrebbero derivare all’azienda nel momento dell’accettazione di un qualsiasi incarico in un’altra azienda.
I dipendenti e i collaboratori della Società non possono direttamente o indirettamente partecipare o collaborare in qualsiasi maniera, ad alcuna transazione, operazione finanziaria o investimento effettuato dalla Società, da cui possa loro derivare un profitto o altro tipo di vantaggio personale non previsto contrattualmente, salvo in caso di un’espressa autorizzazione da parte della Società stessa.
Chiunque venisse a conoscenza anche solamente della possibilità di un conflitto di interessi deve informare immediatamente il proprio superiore, l’Organismo di Vigilanza e tutti gli organi di controllo.

1.7. Tutela ambientale e sicurezza sul lavoro
La Società è impegnata nella salvaguardia dell’ambiente come bene primario. A tale scopo, orienta le proprie scelte, in modo da garantire la compatibilità tra iniziativa economica ed esigenze ambientali. Di tale responsabilità sono investiti tutti i Destinatari.
La Società si impegna a non danneggiare l’ambiente e a partecipare e promuovere iniziative sulle tematiche ambientali dandone puntuale ed esaustiva comunicazione. La Società deve garantire una gestione trasparente da parte della direzione, l’attiva partecipazione di tutti i dipendenti e l’impiego di tecnologie adeguate.
Al fine di rafforzare il dovere di tutela ambientale, la Società invita i Destinatari del presente Codice ad attenersi scrupolosamente alle prescrizioni di legge, alle altre direttive in materia di tutela ambientale e dell’igiene e alle procedure aziendali, e mantenere sempre un comportamento corretto e vigilante.
Caem si impegna a promuovere, nelle sedi appropriate, lo sviluppo scientifico e tecnologico volto alla protezione dell’ambiente ed alla salvaguardia delle proprie risorse. Nelle attività operative operativa, studia l’adozione di sistemi avanzati di salvaguardia dell’ambiente. Promuove il processo di salvaguardia dell’ambiente garantendo il puntuale rispetto delle normative e delle direttive aziendali al riguardo.
Al fine di proteggere e favorire lo sviluppo dell’ambiente fa espresso divieto di:
• tenere comportamenti che siano pericolosi per l’ambiente;
• non rispettare le istruzioni operative esistenti al verificarsi di circostanze che le rendano necessarie;
• celare eventuali casi di fuori limite o fatti e avvenimenti il cui verificarsi abbia costituito un pericolo grave ed immediato per l’ambiente.
La Società garantisce condizioni di lavoro rispettose della dignità individuale ed ambienti di lavoro sicuri e salubri, nel rispetto della normativa antinfortunistica vigente.
Promuove la diffusione di una cultura della sicurezza e della consapevolezza dei rischi connessi alle attività lavorative svolte, richiedendo a tutti, ad ogni livello, comportamenti responsabili e rispettosi del sistema di sicurezza adottato e delle procedure aziendali al fine di contribuire al mantenimento della sicurezza propria e degli altri.
Obiettivo della Società è proteggere le risorse umane, dialogando costantemente non solo al proprio interno, ma anche nei rapporti con Terzi coinvolti nelle attività della Società, come previsto dalla normativa vigente, anche nell’ottica del miglioramento costante della gestione della salute e sicurezza sul lavoro. A tale fine, la Società, attraverso le funzioni aziendali competenti, è attenta all’evoluzione della normativa cogente applicabile e della struttura organizzativa, e propone interventi in conseguenza:
• di una continua analisi del rischio e della criticità dei processi e delle risorse da proteggere;
• della segnalazione di incidenti e quasi incidenti;
• dello svolgimento di interventi formativi e di comunicazione.

2. PRINCIPI NEI RAPPORTI CON TERZI

2.1. Rapporti con i dipendenti
I dipendenti sono la più grande risorsa della Società.
E’ politica della Società trattare i dipendenti in modo equo e selezionarli sulla base delle qualificazioni del lavoro da compiere, senza avere riguardo alla razza, colore, religione, nazionalità, sesso, età o impedimenti fisici.
La Società ha programmi di retribuzione fondati su alti standard di prestazione, trattamento giusto e opportunità di salario competitivo, commisurato con le prestazioni individuali.
La Società si adopera per assicurare un impiego stabile in posizioni che permettono ai dipendenti di svilupparsi personalmente e professionalmente, in modo che possano ottenere soddisfazione dal raggiungimento degli obiettivi sociali, attraverso un’elevata prestazione, in un’atmosfera caratterizzata da competizione, integrità, lavoro di gruppo ed equità.
La Società fornisce ai dipendenti un ambiente pulito, salutare e sicuro con ampie possibilità di crescita professionale, economica e personale.
Essa pone la massima e costante attenzione nella valorizzazione delle risorse umane. A tal fine considera il criterio meritocratico, della competenza professionale, dell’onestà e della correttezza di comportamento fondamenti privilegiati per l’adozione di ogni decisione concernente la carriera e ogni altro aspetto relativo al dipendente.
I dipendenti sono tenuti a porre in essere una condotta costantemente rispettosa dei diritti e della personalità dei colleghi, dei collaboratori e dei terzi, indipendentemente dalla loro posizione gerarchica all’interno della Società.

2.2. Rapporti con i collaboratori e con i consulenti
La Società procede all’individuazione ed alla selezione dei collaboratori e dei consulenti con assoluta imparzialità, autonomia e indipendenza di giudizio.
Comportamenti contrari ai principi espressi nel Codice possono essere, dalla Società, considerati grave inadempimento ai doveri di correttezza e buona fede nell’esecuzione del contratto, motivo di lesione del rapporto fiduciario e giusta causa di risoluzione dei rapporti contrattuali.

2.3. Rapporti con i clienti
Nello svolgimento della propria attività e nella gestione delle relazioni con i clienti, si attiene scrupolosamente alle norme di legge, ai principi del presente Codice ed alle procedure interne, e altrettanto richiede ai propri dipendenti e collaboratori, i quali sono tenuti a evitare qualunque situazione di conflitto di interessi con la Società.

2.4. Rapporti con i fornitori
Nei rapporti di fornitura di beni e di prestazione di servizi opera nel rispetto della normativa e dei principi del presente Codice.
I dipendenti addetti alle relazioni con i fornitori e con i prestatori di servizi devono procedere alla selezione degli stessi ed alla gestione dei relativi rapporti secondo criteri di imparzialità e di correttezza, evitando situazioni di conflitto di interessi anche potenziale con i medesimi, segnalando alla Società l’esistenza o l’insorgenza di tali situazioni.
I prezzi pagati per le forniture ed i servizi devono essere negoziati su base equa e competitiva, pur cercando di ottenere il massimo vantaggio per ciascun acquisto.
E’ imperativo che le relazioni con i fornitori siano condotte con integrità e fiducia che ciascuna parte adempia le proprie obbligazioni.

3. PRINCIPI NELLE ATTIVITÀ CONTABILI E DI TRATTAMENTO DATI

3.1. Relazioni contabili e finanziarie
La società osserva le regole di corretta, completa e trasparente contabilizzazione, secondo i criteri indicati dalle disposizioni legislative in materia, nonché dai vigenti Principi Contabili definiti dalle apposite Commissioni.
Tutte le azioni e le operazioni devono avere una registrazione adeguata e consentire la verifica del processo di decisione, autorizzazione e di svolgimento.
Ogni operazione deve avere un adeguato supporto documentale al fine di poter procedere in qualsiasi momento all’effettuazione di controlli che attestino le caratteristiche e le motivazioni dell’operazione ed individuino i soggetti che hanno autorizzato, effettuato, registrato e verificato l’operazione medesima.
Le scritture contabili devono essere tenute in maniera accurata, completa e tempestiva nel rispetto delle procedure aziendali in materia di contabilità, allo scopo di eseguire una fedele rappresentazione della situazione patrimoniale/finanziaria e dell’attività di gestione, in conformità ai principi contabili generalmente accettati; sono stabiliti e strettamente rispettati idonei controlli periodici.
A tal fine tutti i dipendenti e collaboratori coinvolti nelle scritture contabili devono assicurare la massima collaborazione, la completezza e chiarezza delle informazioni fornite, nonché la accuratezza dei dati e delle elaborazioni.
Per scritture contabili si intendono tutte le documentazioni che rappresentano numericamente fatti gestionali, incluse le note interne di rimborso spese.
Qualsiasi dipendente o collaboratore della Società che scopra voci e situazioni di discutibile origine o natura, omissioni, falsificazioni, inaccuratezza o illeciti, dovrà riportare immediatamente tali violazioni al rispettivo Responsabile Funzionale.

3.2. Rispetto degli obblighi Fiscali
La Società si impegna ad effettuare con completezza e trasparenza tutti gli adempimenti tributari previsti a suo carico dalla normativa vigente e a collaborare, ove previsto, con l’Amministrazione finanziaria. Le dichiarazioni fiscali e il versamento delle imposte rappresentano comportamenti non solo obbligatori sotto un profilo giuridico ma anche ineludibili nell’ambito della responsabilità sociale dell’azienda.
In particolare, al fine della prevenzione dei reati tributari i destinatari del presente Codice si astengono dal porre in essere attività e comportamenti diretti a perseguire finalità di evasione di imposte sui redditi o sul valore aggiunto, o di altre imposte in generale, né nell’interesse o vantaggio della Società né nell’interesse o vantaggio di terzi.
Non introducono elementi passivi fittizi, avvalendosi di fatture o altri documenti per operazioni inesistenti, nelle dichiarazioni relative a dette imposte e nella loro predisposizione.
Il personale deputato ad attività amministrativa controlla che le fatture e i documenti contabili ricevuti si riferiscono a prestazioni effettivamente svolte da parte di chi le abbia emesse ed effettivamente ricevute da Caem prima di procedere a pagamenti.
Non vengono registrate nelle scritture contabili obbligatorie, né vengono detenuti, a fini di prova, fatture o altri documenti per operazioni inesistenti.
Viene regolarmente e periodicamente verificata la regolare applicazione dell’imposta sul valore aggiunto.
Da ultimo Caem si impegna a non compiere operazioni simulate oggettivamente o soggettivamente nonché dall’avvalersi di documenti falsi o di altri mezzi fraudolenti idonei a ostacolare l’accertamento e a indurre in errore l’Amministrazione Finanziaria; si impegna a non indicare, in dichiarazioni relative alle imposte sui redditi o sul valore aggiunto, elementi attivi per un ammontare inferiore a quello effettivo o elementi passivi fittizi o crediti e ritenute fittizie; a non presentare fatture o altri documenti che si riferiscano ad operazioni inesistenti al fine di consentire a terzi l’evasione delle imposte sui redditi o sul valore aggiunto; a non nascondere e/o distruggere in tutto o in parte le scritture contabili, o i documenti di cui è obbligatoria la conservazione, secondo i tempi dettati dalla legge, allo scopo di occultarne la ricostruzione dei redditi o del volume di affari, al solo fine di evadere o di far evadere terzi; a non compiere atti simulati al solo fine di sottrarsi al pagamento di imposte sui redditi o sul valore aggiunto ovvero di interessi o sanzioni amministrative relativi a dette imposte; a non indicare nella documentazione presentata ai fini della procedura di compensazione fiscale elementi atti ad ottenere un vantaggio compensativo indebito.

3.3. Trattamento dei dati e delle informazioni riservate
La Società tutela la riservatezza e la confidenzialità delle informazioni e dei dati, relative a dipendenti, collaboratori o a terzi, raccolti in ragione o in occasione dello svolgimento dell’attività lavorativa, ed ogni dipendente e collaboratore è tenuto a conformarsi a tali principi.
I collaboratori che vengono a conoscenza di informazioni non di pubblico dominio devono usare la massima cautela e cura nell’utilizzare tali informazioni, evitandone la divulgazione a persone non autorizzate, sia all’interno, sia all’esterno dell’azienda.
Per informazioni riservate si intendono, a mero titolo esemplificativo: le informazioni tecniche relative a procedure; i programmi d’acquisto; le strategie di costi, dei prezzi, di marketing o di servizi; relazioni sulle entrate e altre relazioni finanziarie non pubbliche; informazioni relative a vendite, fusioni ed acquisizioni.
Il trattamento informatico delle informazioni è sottoposto ai controlli di sicurezza necessari a salvaguardare la società da indebiti intrusioni od usi illeciti.

4. RISORSE AZIENDALI

4.1. Tutela delle risorse aziendali
La Società si adopera affinché l’utilizzo delle risorse disponibili - effettuato in conformità alla normativa vigente ed ai contenuti dello statuto, ed in linea con i valori del presente Codice - sia volto a garantire, accrescere e rafforzare il patrimonio aziendale, a tutela della società stessa, dei soci, dei creditori e del mercato.
Tutti i Destinatari sono direttamente e personalmente responsabili della protezione e del legittimo utilizzo dei beni (materiali e immateriali) e delle risorse loro affidati per espletare le proprie funzioni.

4.2. Uso dei sistemi informatici
L'utilizzo dei sistemi informatici e delle dotazioni tecnologiche deve avvenire nel rispetto di quanto previsto dalle procedure aziendali in materia.
Rispetto all’utilizzo dei sistemi informatici ogni dipendente è responsabile della sicurezza dei sistemi utilizzati ed è soggetto alle disposizioni normative in vigore e alle condizioni dei contratti di licenza, nonché ai principi espressi in questo Codice. È pertanto fatto espresso divieto al personale della Società di installare e utilizzare software al di fuori di quelli installati dalla Società.
Salvo quanto previsto dalle leggi civili e penali, rientra nell’uso improprio dei beni e delle risorse aziendali l’utilizzo dei collegamenti in rete per fini diversi da quelli inerenti al rapporto di lavoro o per inviare messaggi offensivi o che possano arrecare danno all’immagine dell’impresa. È, inoltre, fatto espresso divieto a tutto il personale della Società di utilizzare i sistemi informatici della Società per accedere a siti internet per motivazioni personali, in particolare siti atti alla propaganda e commercio di materiale pornografico.
Ogni utilizzatore di strumenti informatici è responsabile della sicurezza dei programmi e del corretto utilizzo di tutti i dati acquisiti nell’esercizio delle proprie funzioni.
Ogni dipendente è altresì tenuto a prestare il necessario impegno al fine di prevenire la possibile commissione di reati mediante l’uso degli strumenti informatici.
I Destinatari nell’ambito delle rispettive funzioni collaborano con l’Organismo di Vigilanza al fine di assicurare l’efficacia dei sistemi di sicurezza.
La Società vieta espressamente ogni condotta di alterazione del funzionamento di sistemi informatici o telematici e/o di manipolazione dei dati in essi contenuti.

5. CONFLITTO DI INTERESSI
Tutti i dipendenti e collaboratori devono evitare situazioni che possano creare conflitti di interesse sia reale, sia potenziale tra attività personali e aziendali; pertanto trasparenza, fiducia e integrità sono valori che devono essere in ogni caso rispettati.
Nessun dipendente, inoltre, può procurarsi vantaggi personali in relazione all’attività esplicata per conto della Società.
In particolare, i dipendenti che hanno rapporti con fornitori, contractors, clienti e tutte le parti con cui fanno o cercano di fare affari, devono condurre la trattativa tenendo presente che l’interesse della società è di primaria importanza. Essi devono evitare assolutamente di utilizzare, anche solo implicitamente, la propria posizione per influenzare decisioni a proprio favore o a favore di parenti, amici e conoscenti per fini prettamente personali di qualunque natura essi siano.
Laddove possano sorgere situazioni di potenziale conflitto, fondamentale sarà la comunicazione tra il collaboratore ed il proprio superiore al fine della risoluzione della questione.

6. POLITICHE DI GESTIONE DEL PERSONALE
Per lo sviluppo del business e il miglioramento continuo dei processi a supporto del business stesso, la Società intende dare centralità alle risorse umane e alla valorizzazione delle competenze chiave.
La comunicazione, la crescita professionale e l’attenzione all’ambiente di lavoro sono alla base del nostro rapporto con le persone e si declinano nelle seguenti politiche aziendali per il loro inserimento, sviluppo, formazione e rewarding.

6.1. Selezione e mobilità interna
La Società intende attrarre dal mercato e inserire stabilmente in azienda le persone e le competenze migliori per il business e favorire la mobilità interna in ruoli, situazioni e funzioni diverse per avvalersi al meglio delle competenze disponibili e velocizzare l’accrescimento delle capacità e delle potenzialità individuali.

6.2. Sviluppo e carriera
La Società vuole perseguire lo sviluppo delle risorse umane e creare un “bacino” di risorse pronte a ricoprire le posizioni chiave sia in ottica manageriale, sia professionale. I percorsi di sviluppo e carriera sono basati principalmente sulla valutazione dei comportamenti, delle prestazioni, delle competenze e del potenziale.

6.3. Formazione
La Società promuove la crescita delle competenze, fornendo opportunità formative in sintonia con l’evoluzione del business e della cultura aziendale.
A tal fine pone in essere una politica di formazione che prevede interventi mirati a promuovere:
• una diffusione omogenea delle conoscenze di base funzionali all’attività svolta in azienda (Formazione di base);
• la conoscenza delle disposizioni e norme che regolamentano il luogo di lavoro e la vita aziendale prevista dalla legge (Formazione obbligatoria).

6.4. Comunicazione e ascolto
Vogliamo che le persone si sentano parte di un’unica realtà aziendale e creare un canale di comunicazione “a doppio binario” fra azienda e persone, attraverso il quale:
• veicolare i messaggi e le informazioni necessari alle persone per comprendere ed attuare la strategia aziendale;
• “ascoltare la voce” delle persone, per misurare il clima interno e mantenere alto il loro livello di soddisfazione e motivazione.

6.5. Diversità e pari opportunità
La Società esclude qualsiasi tipo di discriminazione, in particolare di sesso, età, nazionalità, origine etnica, ideologia e credo religioso, operando in accordo con le leggi, gli adempimenti contrattuali.

6.6. Relazioni industriali
Nell’ambito delle Relazioni Industriali, la Società vuole favorire il coinvolgimento dei lavoratori e delle loro rappresentanze nel perseguimento degli obiettivi aziendali e promuovere i valori che stanno a fondamento dell’impresa e della sua competitività.

6.7. Organizzazione competitiva
La Società persegue l’innovazione delle forme organizzative come strumento di costruzione del proprio vantaggio competitivo e favorisce la creazione di un’organizzazione snella, orientata al cliente e alla generazione di valore.

7. RAPPORTI CON LA PUBBLICA AMMINISTRAZIONE

7.1. Legalità, correttezza e trasparenza nei rapporti con la Pubblica Amministrazione
La Società ispira e adegua la propria condotta al rispetto dei principi di legalità, correttezza e trasparenza, al fine di non indurre la Pubblica Amministrazione alla violazione dei principi dell’imparzialità e del buon andamento cui è tenuta.
I contatti con la Pubblica Amministrazione sono gestiti, in conformità con le apposite procedure aziendali, da chi è specificatamente e formalmente incaricato dalla Società di trattare o di avere contatti con pubblici ufficiali e/o incaricati di Pubblico Servizio appartenenti a dette amministrazioni.
Tutti i Destinatari, nei rapporti con la Pubblica Amministrazione, dovranno osservare gli obblighi di informazione nei confronti dell’Organismo di Vigilanza della Società previsti dalle procedure interne e dovranno rendere disponibile ed accessibile, ove richiesta, ogni documentazione ed operazione, anche non economica, eseguita nell’ambito dei compiti e delle funzioni assegnatigli.
Nei rapporti di qualsiasi natura con la Pubblica Amministrazione è pertanto espressamente vietato porre in essere o istigare altri a porre in essere pratiche corruttive di ogni genere.
Nel caso di accessi, ispezioni e verifiche da parte di pubblici funzionari presso la Società, dovrà darsi immediata comunicazione all'Organismo di Vigilanza.

7.2. Omaggi, regalie e altre forme di benefici
In virtù del principio di integrità sul quale la Società fonda la propria reputazione, i dipendenti ed i collaboratori non devono accettare, neanche in occasione di festività, denaro, ristorni, contributi, regali di valore eccessivo e altre utilità correlati alle loro attività professionali, che possa essere considerata illegale, non etica o compromettente.
Per nessuna ragione devono essere fatti regali a funzionari di imprese con le quali la società ha rapporti d’affari, né tanto meno a soggetti identificabili come Pubblici Ufficiali o incaricati di pubblico servizio.
Non devono essere dati contributi che potrebbero essere considerati illeciti a partiti politici o a candidati a cariche pubbliche.
I dipendenti della Società non accetteranno trattenimenti o regali costosi (eccetto regali di valore simbolico) da fornitori, clienti e altri soggetti con cui la Società è in rapporti d’affari.
In ogni caso, i dipendenti e collaboratori si astengono da pratiche non consentite dalla legge, dagli usi commerciali o dagli eventuali codici etici delle aziende o degli enti con i quali si hanno rapporti e la società dunque contrasta e condanna qualsiasi forma di corruzione di soggetti esterni alla realtà aziendale, comprese le forme di vantaggio alla società derivante da mediazioni illecite con Pubblici Ufficiali ed Incaricati di Pubblico Servizio.

7.3. Rapporti di natura commerciale con la Pubblica Amministrazione
Nell’ambito di una qualsiasi trattativa d’affari, una richiesta o un rapporto con la Pubblica Amministrazione italiana e/o straniera, non devono essere tenuti per nessuna ragione comportamenti volti a influenzare illegittimamente le decisioni dei Pubblici Ufficiali o Incaricati di Pubblico Servizio, al fine di far conseguire alla Società un indebito o illecito profitto o vantaggio.

7.4. Utilizzo dei sistemi informatici della Pubblica Amministrazione
E' vietato alterare o tentare di alterare il funzionamento di un sistema informatico o telematico della Pubblica Amministrazione, nonché manipolare o tentare di manipolare i dati in esso contenuti ovvero inserirvi dati non veritieri.

7.5. Finanziamenti, contributi, sovvenzioni e erogazioni pubbliche
È proibito destinare a finalità diverse da quelle per cui sono stati eventualmente concessi contributi, sovvenzioni o finanziamenti ottenuti dallo Stato o da altro Ente pubblico nazionale ed estero. La Società condanna i comportamenti volti a ottenere, da parte dello Stato o di altro Ente pubblico nazionale ed estero, qualsiasi tipo di contributo, finanziamento, mutuo agevolato o altra erogazione dello stesso tipo, per mezzo di dichiarazioni e/o documenti allo scopo alterati o falsificati, o per il tramite di informazioni omesse o, più genericamente, per il tramite di artifici o raggiri, compresi quelli realizzati per mezzo di un sistema informatico o telematico, volti a indurre in errore l’ente erogatore.

8. RAPPORTI CON PARTITI POLITICI, ORGANIZZAZIONI SINDACALI E ASSOCIAZIONI
La Società si impegna a improntare e mantenere una costante collaborazione con le associazioni di categoria e sindacati in base a principi di correttezza e trasparenza, nell’ambito delle disposizioni legislative e delle disposizioni contenute nella contrattazione collettiva applicabile.
La Società non eroga contributi di alcun genere, direttamente o indirettamente, a partiti politici, movimenti, comitati e organizzazioni politiche e sindacali, associazioni portatrici di interessi, né a loro rappresentanti o candidati, sia in Italia che all’estero, a esclusione dei contributi dovuti sulla base della normativa.
I Destinatari non possono svolgere attività politica nella sede della Società o utilizzare beni o attrezzature della stessa a tale scopo. Dovranno inoltre chiarire che le eventuali opinioni politiche, da loro espresse a terzi, sono strettamente personali e non rappresentano, pertanto, la posizione della Società.

9. PREVENZIONE DEL RICICLAGGIO DI DENARO ILLECITO
La Società richiede massima trasparenza nelle operazioni commerciali e nei rapporti con i terzi, nel pieno rispetto delle normative, nazionali e internazionali, in tema di lotta al fenomeno del riciclaggio.
I Destinatari non possono di conseguenza avviare rapporti d’affari per conto della Società con partner o fornitori o terzi che non diano garanzie di onorabilità e non godano di buona reputazione o il cui nome sia associato a vicende connesse a riciclaggio.
Tutte le transazioni finanziarie devono trovare adeguata giustificazione nei rapporti contrattuali e devono essere effettuate mediante mezzi di pagamento che ne garantiscano la tracciabilità.
La Società dovrà intrattenere rapporti d'affari esclusivamente con clienti e fornitori di sicura reputazione, che svolgono attività commerciali lecite e i cui proventi derivano da fonti legittime. Ciascuna unità aziendale dovrà dotarsi di misure idonee a garantire che non siano accettate forme di pagamento identificate quale strumento di riciclaggio di denaro illecito. La Società è impegnata al pieno rispetto di tutte le leggi antiriciclaggio vigenti a livello mondiale, comprese quelle che prescrivono la denuncia di transazioni sospette in denaro contante o di altra natura. In particolare, in quanto società di diritto italiano, la Società risulta soggetta, tra le altre norme di legge e regolamentari, alle disposizioni della Legge 197/1991 e del Decreto Legislativo 231/2007 che recepiscono i principi contenuti nelle direttive di riferimento dell'Unione europea in materia di antiriciclaggio e salvaguardia dell'integrità del sistema finanziario.
L'integrità e reputazione della Società possono risultare gravemente incrinate dalla mancata individuazione di transazioni dirette al riciclaggio di denaro. Il riciclaggio di denaro illegale è il processo attraverso il quale somme ottenute con strumenti illeciti o destinate a scopi illeciti vengono convertite in modo tale da risultare regolarmente acquisite o non siano tracciabili ai fini dell'individuazione di chi le utilizza per finalità illecite. Il riciclaggio di denaro è tradizionalmente associato ad attività criminose e resta un elemento di indagine centrale da parte delle forze dell'ordine. A partire dal 2001, tuttavia, è stato innalzato da parte delle autorità il livello di attenzione sulle pratiche di riciclaggio impiegate per il trasferimento di denaro destinato ad attività terroristiche; conseguentemente molti ordinamenti giuridici, compreso quello degli Stati Uniti, hanno rafforzato la propria legislazione in materia di antiriciclaggio.
Il riciclaggio avviene in genere convertendo contante o valori equivalenti a contante da una forma all'altra, per esempio da assegni personali a vaglia. Tra gli esempi di pagamenti od operazioni sospette riconducibili a reati di riciclaggio vi sono i vaglia multipli o travel cheque emessi da più soggetti, ingenti pagamenti in contante o pagamenti effettuati mediante assegno per conto di un cliente da un soggetto terzo ignoto.

10. MODALITÀ DI ATTUAZIONE, DI CONTROLLO E SANZIONI

10.1. L’Organismo di Vigilanza
L’organo deputato a vigilare sull’osservanza del presente Codice e di riferire sulla eventuale necessità dei suoi aggiornamenti è l’Organismo di Vigilanza.
L’Organismo di Vigilanza nell’esercizio delle proprie funzioni avrà libero accesso ai dati e alle informazioni aziendali utili allo svolgimento delle proprie attività e si coordinerà opportunamente con gli altri organi e le funzioni societarie competenti per la corretta attuazione e l’adeguato controllo dei principi del Codice.
I Destinatari sono tenuti a prestare la massima collaborazione nel favorire lo svolgimento delle funzioni dell’Organismo di Vigilanza.

10.2. Conoscenza e applicazione
Il presente Codice è portato a conoscenza di tutti i destinatari da parte dell’Organismo di Vigilanza.
Eventuali dubbi applicativi connessi al presente Codice devono essere tempestivamente discussi con l’Organismo di Vigilanza.
Tutti coloro che hanno rapporti con la Società, senza distinzioni o eccezioni, in Italia o all’estero, sono impegnati a fare osservare i principi e le norme del presente Codice. In nessun modo, agire a vantaggio della Società può giustificare l’adozione di comportamenti in contrasto con tali principi e norme. In particolare, tutti i destinatari sono tenuti a operare affinché tali principi e norme siano adeguatamente applicati.

10.3. Reporting interno
La vigilanza dell’attuazione del Codice e della sua applicazione è compito di tutti i Destinatari, che sono indistintamente e singolarmente tenuti a segnalarne le eventuali inadempienze o mancata applicazione all'Organismo di Vigilanza.
Chiunque venga a conoscenza di violazioni ai principi del presente Codice e/o alle procedure operative che compongono il Modello o in genere il sistema di controllo interno, è tenuto a segnalarle prontamente all’Organismo di Vigilanza.
Tutti i Destinatari sono tenuti a riferire con tempestività e riservatezza al proprio responsabile di funzione e/o all’Organismo di Vigilanza, ogni notizia di cui siano venuti a conoscenza nell’espletamento delle loro attività lavorative, circa violazioni di norme giuridiche, del Codice o altre disposizioni aziendali che possano, a qualunque titolo, coinvolgere l’impresa. I responsabili di funzione devono vigilare sull’operato dei propri dipendenti e devono informare l’Organismo di Vigilanza. Valgono a tal fine le regole stabile nella parte generale del Modello.

10.4. Modifiche e aggiornamenti al Codice
Qualsiasi modifica e/o integrazione al presente Codice dovrà essere apportata con le stesse modalità adottate per la sua approvazione iniziale.

10.5. Sanzioni
L’osservanza delle norme e dei principi del Codice deve considerarsi parte essenziale di tutti i rapporti intrattenuti dalla Società.
La violazione dei principi fissati nel Codice, nel Modello e nelle procedure previste dai protocolli interni compromette il rapporto fiduciario tra la Società ed i propri amministratori, dipendenti, consulenti, collaboratori a vario titolo, clienti, fornitori, partners commerciali e finanziari.

10.6. Procedura di Segnalazione (Whistleblowing)
Le segnalazioni di possibili violazioni, che abbiano rilevanza penale, possono e devono essere fatte da tutti coloro che siano interessati dall’organizzazione, a qualsiasi livello (dipendenti, dirigenti, Organi di controllo interno, clienti e fornitori), i quali sono tenuti a riferire con tempestività e riservatezza ogni notizia di cui siano venuti a conoscenza nell’espletamento dei propri compiti o delle loro attività, con riferimento a violazioni di legge o di regolamenti, del Codice Etico, del Modello 231 (MOGC) o di altre disposizioni aziendali o a segnalare eventuali pressioni in tal senso.
I responsabili della procedura di segnalazione sono tenuti ad indirizzare i propri collaboratori all’osservanza del Codice, alla denuncia di eventuali violazioni, a reprimere tentativi di ritorsione o pressione, riferendo tempestivamente tali eventi agli organi superiori o di controllo, attraverso i canali di comunicazione segnalati dall’organizzazione.
Allo scopo di garantire effettività al Modello 231, nel rispetto della riservatezza e della personalità individuale degli interessati, la Società predispone canali di informazione tramite i quali coloro che, a qualunque titolo siano coinvolti nell’attività dell’azienda o siano coinvolti da essa, possano riferire liberamente, direttamente ed in maniera riservata all’Organismo di Vigilanza e all’Alta Direzione: odv@caem.it whistleblowing@caem.it;

10.7. Modalità di diffusione del Codice
Una copia di questo Codice è consegnata su supporto informatico a tutti i dipendenti e collaboratori della Società secondo le modalità dettagliate dal Modello.
Tutti i dipendenti vengono informati e formati sui contenuti del Codice attraverso un’adeguata formazione.

INTRODUCTION
The principles inside the current Code of Ethics (later also called “Code”) are applied to the components of social agencies, managers, employees and anyone that, permanently or temporarily, act on behalf of the Company or are tied to it by a collaborative relationship.
The Code of Ethics is an expression of a business context where the main goal is to fulfill, in the best of ways the expectations of the Company’s business partners, to advocate and promote a high standard of professionalism and prevent conducts which go against active legislation and the values that the company promotes.
This “Code” tries to set a minimum conduct standard, which involves the most common and sensitive areas of the business.
Other specific policies and procedures extend the concepts expressed in this “Code” and furtherly cover topics related to this business and the company’s organization.

MISSION
The mission of the Company consists of producing and promulgate furnishing that allows the business of distribution to have efficient spaces that are also suitable for social evolutions of the behaviours and demand of customers.
For this purpose, the Company wants to ensure a solid commitment towards the employees easing their personal and professional growth.
Furthermore, it is considered of crucial importance the employees and partners’ professional performance development according to the principles of perseverance, ability, professionalism, efficiency, honesty, and loyalty.
The Company promotes the contact with the customer, shaping the relative links towards respect, kindness, fairness, and openness.

1. REGULATIONS AND GENERAL CONDUCT PRINCIPLES

1.1. Field of application
The Code is applied to the employees and everyone who cooperates with the execution of the Company’s activities and the pursuit of its goals.
Each employee has the responsibility to adopt these principles, policies, and procedures.

1.2. Observance of regulations and guidelines
The Company has an essential principle of observance of applicable regulations and guidelines.
Every Subject must be committed to observing applicable regulations and guidelines. The Company will not begin or carry on any bond with those who do not adjust to this principle.
The Subjects, therefore, must know the regulations that define their activities and the consequent behaviour: in case of doubt, or need for further explanation, regarding the complete observance and interpretation of what is set forth by the Code of Ethics, they are invited to speak with the Supervisory Body, which is specifically established inside the Company.

1.3. Fairness and honesty
The Company works in observation of professional ethics and inner regulations. The pursuing of the Company’s interests can never justify behaviours that go against the principles of fairness and honesty.
Each work activity of those who work for the Company must be executed with professional commitment, moral values and fair management, also to defend the Company’s Image.
Behaviours and relationships between all those who work for the interest of the Company, both inside and outside of it, must be inspired by openness, fairness and mutual respect.
All the Subjects must act loyally and in good faith while respecting the contractual obligations and ensuring the requested performances.
Particularly aimed to the managers, also, the Company demands that they actively try to suggest and achieve projects, investments and business actions that are useful to preserve and increase the economic, technological and professional capital of the Company.
The Company also guarantees on phenomena and business choices, the availability of an informative support such to allow to make the wide-ranging and most effective supervision possible by corporate bodies, audit bodies, and inner supervisions.
Without prejudice to the obligation of transparency provided for by law, CAEM staff inform their superior of situations of conflict, even potential, and refrain from making decisions on the matter. The conflict may concern interests of any kind, including non-patrimonial ones, such as those deriving from the intent of wanting to indulge political, trade union or hierarchical pressures.

1.4. Impartiality
The Subjects must work with impartiality and must take decisions rigorously and openly in the execution of all business processes.
The Subjects must decline any unjustified pressure during the execution of their own activity. In case of any pressure, flatteries or requests to give favours regarding anybody’s work activity or received proposals that go against the duty of neutrality must be notified to the Supervisory Body without any hesitation.

1.5. Private corruption
The Company, in order to observe the principle of fairness and openness and to obtain the biggest profit possible from its activities, monitors to ensure that the Subjects are not subjected to private corruption or are authors of it.
Therefore, the Subjects must not violate the duties and obligations regarding their office to receive (or because they have already received) promises of money or various benefits.
The Company forbids obtaining benefits and advantages, or nonetheless accepting the promise of it, regardless if it violates their own duties or not.
During negotiations, the Subjects must not pursue only the Company’s profit, ignoring their own personal interests, but must neither accept any kind of promise for personal benefit (money, goods, services, future employment, various benefits) made from any of the offerors and nonetheless let such promises influence their choice.

1.6. Conflict of interests
To observe the principle of fairness and openness, as well as protecting the trust of own investors and customers, the Company monitors to make sure that the Subjects are not in situations of conflict of interest.
A conflict of interest is defined as any situation, occasion or relationship in which, even just potentially, there may be conflict of personal or other correlated people’s (relatives, friends, acquaintances) interest or organizations of which any of the subjects is administrator or manager, that may go against the duties of neutrality.
Each Subject must avoid any situation that may cause conflict with the interests of the Company; particularly, any conflict of interest among personal and familiar economical activities and the tasks designated by the Company must be avoided.
Every choice and action undertaken by the Subjects must be prone to the best possible profit for the Company, which therefore sets the following rules:
• administrators and the general director who have conflicting interests, even just partially, with the Company, are not allowed to work or contribute to operations (or to participate to the related decisions) that affect the assets owned or managed by the Company
• the employees and partners of the Company cannot carry out any kind of deal or other professional activity that is conflicting, even just partially, with the interests of the Company;
Moreover, the Company provided the following obligations:
• to observe the Society’s inner laws and obligations in all the personal and business relationships outside of itself;
• to avoid acts and bonds that could be or appear as going against the obligations deriving from each function of the Society or its interests;
• to evaluate the possible benefits and disadvantages that may arise to the company at the time of accepting any job in another company
The employees and collaborators of the Company cannot directly or indirectly participate or contribute in any way to any transaction, financial operation or investment done by the Company, from which they can obtain profit or other personal benefits not expected by contract, with the only exception of it being explicitly authorized by the Company itself.
Anyone who finds out about a conflict of interest, even just the possibility of it, must immediately notify their superior, the Supervisory Body and all the control bodies.

1.7. Environmental protection and work safety
The Company is active in environmental protection as a primary asset. To do so, it drives its choices, in ways to grant the compatibility between economical initiative and environmental needs. All the Subjects have such responsibility.
The Company actively tries not to damage the environment and to participate and promote initiatives regarding the environment giving punctual and thorough notice. The Company must guarantee clear management from the administration, active participation by all the employees and the use of appropriate technologies.

In order to strengthen the duty of environmental protection, the Company invites the recipients of this Code to scrupulously comply with the provisions of the law, other directives on environmental protection and hygiene and company procedures, and always maintain correct and vigilant.
CAEM is committed to promoting, in the appropriate places, scientific and technological development aimed at protecting the environment and safeguarding its resources. In operational activities, it studies the adoption of advanced environmental protection systems. It promotes the process of protecting the environment by ensuring timely compliance with the regulations and company directives in this regard.
In order to protect and promote the development of the environment, it is expressly forbidden to:
• engage in behavior that is dangerous for the environment;
• fail to comply with existing operating instructions in the event of circumstances that make them necessary;
• conceal any cases of out-of-bounds or facts and events whose occurrence constituted a serious and immediate danger to the environment.
The Company guarantees work conditions that respect dignity of the individuals, and safe and healthy workplaces, according to the applicable health and safety regulation.
It promotes the dissemination of a culture of safety and awareness of the risks connected to the work activities carried out demanding from everyone, in all sort of levels, a behaviour that is responsible and respectful towards the security system used and the business procedures to contribute to the maintenance of their own and others’ safety.
The goal of the Company is to safeguard human resources, having frequent conversations not only inside, but also with third parties involved with the Company’s activities, according to the applicable regulations, also with a view to constantly improving the management of health and safety at work. To do so, the Company, through the applicable business functions, pays attention to the evolution of applicable regulations and the management structure, and proposes actions as a consequence of:
• a constant check of risks and critical issues of the processes and resources to be safeguarded;
• notifications of incidents and quasi-incidents;
• execution of training and communication actions.

2. PRINCIPLES OF RELATIONSHIPS WITH THIRD PARTIES

2.1. Relationship with the employees
Employees are the most valuable resource of the Company.
It’s a Company policy to treat its employees equally and to choose them according to the qualifications required for the work to be done, regardless of race, colour, religion, nationality, sex, age or physical dysfunctions.
The Company has retribution programs based on high standards of performance, fair treatment and the opportunity of a competitive wage, proportional to the individual’s performance.
The Company strives to ensure stable employment in conditions that allow the employees to develop personally and professionally, in a way that they can obtain satisfaction from the achievement of social goals, through a high performance, in an environment characterized by competitiveness, integrity, teamwork, and equality.
The Company provides a clean, healthy and safe environment with wide professional, economical and personal growth possibilities to the employees.
It pays constant and full attention to the enhancement of human resources. Therefore, meritocratic criteria of professional performance, honesty, and rightful behaviour are considered advisable bases for the adoption of decisions regarding the career and every other aspect about the employee.
The employees have to maintain a constant respectful behaviour towards the rights and the personality of their colleagues, collaborators and third parties, regardless of their position in the hierarchy of the Company.

2.2. Relationship with collaborators and advisors
The Company proceeds with the individuation and selection of collaborators and advisors with absolute impartiality, autonomy, and independence of judgment.
Behaviour contrary to the principles expressed in the Code, may be considered by the Company to be a serious breach of the duties of correctness and good faith in the performance of the contract, a cause of injury to the fiduciary relationship and just cause for the termination of contractual relations.

2.3. Relationship with customers
In carrying out its activities and in managing relations with customers, the Company strictly adheres to the law, to the principles of this Code and to the internal procedures, and so wants by its employees and collaborators, who are required to avoid any situation of conflict of interests with the Company.

2.4. Relationship with the suppliers
The Company works according to the regulations and principles of the current Code in supplying goods and services relationships.
Employees involved in relations with suppliers and service providers must select them and manage the relationship with them according to impartiality and fairness, avoiding situations of potential conflict of interest with the same, reporting to the Company the existence or occurrence of such situations.
Furniture and services pricing must be negotiated on an equal and competitive basis, but also trying to obtain the maximum profit possible for each purchase.
It’s essential that the relationship with the suppliers be conducted with integrity and trust that each party fulfills its obligations.

3. PRINCIPLES IN ACCOUNTING ACTIVITIES AND USE OF DATA

3.1. Accounting and financial relationships
The company observes the rules of correct, complete and transparent accounting, according to the criteria indicated by the relevant legislative provisions, as well as by the current Accounting Principles defined by the specific Commissions.
All actions and operations must be properly registered and allow the decision-making, authorization and execution process to be verified.
Each operation must have adequate documentary support in order to be able to proceed at any time to carry out checks that certify the characteristics and motivations of the transaction and identify the parties who have authorized, carried out, recorded and verified the operation itself.
The accounting records must be kept in an accurate, complete and timely manner in compliance with company accounting procedures, in order to perform a fair representation of the balance sheet / financial position and management activity, in accordance with generally accepted accounting principles; appropriate periodic checks are established and strictly respected.
To this end, all employees and collaborators involved in accounting records must ensure maximum collaboration, completeness and clarity of the information provided, as well as the accuracy of data and processing.
For accounting records, we mean all the documents that numerically represent managerial facts, including internal expense reimbursement notes.
Any employee or collaborator of the Company who discovers rumours and situations of questionable origin or nature, omissions, falsifications, inaccuracies or unlawful acts must immediately report such violations to the respective Functional Manager.

3.2. Compliance with tax obligations
The Company undertakes to carry out with completeness and transparency all the tax obligations required by the current legislation and to collaborate, where required, with the tax authorities. Tax returns and the payment of taxes represent behaviors that are not only mandatory from a legal point of view but also unavoidable in the context of corporate social responsibility.
In particular, in order to prevent tax crimes, the recipients of this Code refrain from engaging in activities and conduct aimed at pursuing purposes of evasion of income or value added taxes, or other taxes in general, nor in the interest of or to the advantage of the Company or in the interest or advantage of any third party.
They do not introduce fictitious passive elements, making use of invoices or other documents for non-existent transactions, in the declarations relating to said taxes and in their preparation.
The staff responsible for administrative activity checks that the invoices and accounting documents received refer to services actually carried out by the person who issued them and actually received them by Caem before making payments.
They are not recorded in mandatory accounting records, nor are invoices or other documents held for non-existent transactions for evidence purposes.
The regular application of value added tax is regularly and periodically checked.
Lastly, Caem undertakes not to carry out objectively or subjectively simulated operations as well as by making use of false documents or other fraudulent means capable of hindering the assessment and misleading the Financial Administration; undertakes not to indicate, in returns relating to income or value added taxes, active elements for an amount lower than the actual amount or fictitious passive elements or fictitious credits and withholdings; not to submit invoices or other documents that refer to non-existent transactions in order to allow third parties to evade income or value added taxes; not to hide and / or destroy in whole or in part the accounting records, or the documents which must be kept, according to the times dictated by law, in order to conceal the reconstruction of income or turnover, for the sole purpose of to evade or to evict third parties; not to carry out simulated acts for the sole purpose of avoiding the payment of income or value added taxes or interest or administrative penalties relating to said taxes; not to indicate in the documentation submitted for the purposes of the tax offsetting procedure elements capable of obtaining an undue compensatory advantage.

3.3. Processing of data and confidential information
The Company protects the confidentiality and confidentiality of information and data relating to employees, collaborators or third parties, collected on or during the course of their work, and each employee and collaborator is required to comply with these principles.
Partners who become aware of non-public information must use the utmost caution and care in using this information, avoiding disclosure to unauthorized persons, both inside and outside the company.
For confidential information we mean, by way of example: the technical information concerning procedures; purchase programs; cost, price, marketing or service strategies; revenue reports and other non-public financial reports; information on sales, mergers and acquisitions.
The IT processing of the information is subjected to the security checks necessary to safeguard the company from undue intrusion or illegal use.

4. ENTERPRISE RESOURCES
4.1. Protection of company resources
The Company shall use its best efforts to ensure that the use of available resources - carried out in compliance with current legislation and the contents of the bylaws, and in line with the values of this Code - is aimed at guaranteeing, increasing and strengthening corporate assets, to protect society itself, the shareholders, the creditors and the market.
All the Subjects are directly and personally responsible for the protection and legitimate use of the goods (tangible and intangible) and the resources entrusted to them for carrying out their functions.
4.2. Use of computer systems
The use of IT systems and technological equipment must be carried out in compliance with the relevant company procedures.
With respect to the use of IT systems, each employee is responsible for the security of the systems used and is subject to the current regulatory provisions and the terms of the license agreements, as well as the principles expressed in this Code. It is therefore expressly forbidden for Company personnel to install and use software other than those installed by the Company.
Except as provided for by civil and criminal law, the use of network links for purposes other than those related to the employment relationship or to send offensive messages or that may cause damage to the image of the Company. Furthermore, it is expressly forbidden for all Company personnel to use the Company's IT systems to access websites for personal reasons, in particular sites for propaganda and trade in pornographic material.
Each user of IT tools is responsible for the security of the programs and for the correct use of all the data acquired in the exercise of their functions.
Each employee is also required to provide the necessary commitment in order to prevent the possible commission of crimes through the use of IT tools.
The Subjects cooperate with the Supervisory Body within the respective functions in order to ensure the effectiveness of the security systems.
The Company expressly forbids any conduct of alteration of computer or telecommunications systems and / or manipulation of the data contained therein.

5. CONFLICTS OF INTEREST
All employees and collaborators must avoid situations that may create conflicts of interest, both real and potential, between personal and business activities; therefore transparency, trust and integrity are values that must be respected in any case.
Furthermore, no employee can obtain personal advantages in relation to the activity performed on behalf of the Company.
In particular, employees who have relationships with suppliers, contractors, customers and all the parties with whom they do or try to do business, must conduct the negotiation bearing in mind that the company's interest is paramount. They must absolutely avoid using, even if only implicitly, their position to influence decisions in their favour or in favour of relatives, friends and acquaintances for purely personal purposes of whatever nature they may be.
Where situations of potential conflict may arise, the communication between the collaborator and his / her superior is essential for the resolution of the matter.

To do so it created a policy of formation that plans the promotion of:
• a homogeneous spread of base knowledge functional to the activities done in the company (Base Training);
• base knowledge of the guidelines that regulate the workplace and the business lifestyle defined by the law (Compulsory Training)

7. RELATIONS WITH THE PUBLIC ADMINISTRATION

7.1. Legality, rightfulness, and transparency in the relationship with the Public Administration
The Company inspires and adapts its conduct to compliance with the principles of legality, correctness and transparency, in order not to induce the Public Administration to violate the principles of impartiality and good performance it is required to perform.
The contacts with the Public Administration are managed, in accordance with the appropriate company procedures, by those specifically and formally instructed by the Company to deal with or have contacts with public officials and / or Public Service officers belonging to said administrations.
All Subjects, in relations with the Public Administration, must comply with the obligations to inform the Supervisory Body of the Company provided for in the internal procedures and must make available and accessible, if required, any documentation and operation, even the non-economic ones, performed within the scope of the tasks and functions assigned to it.
In relationships of any kind with the Public Administration it is therefore expressly forbidden to put in place or instigate others to carry out corrective practices of any kind.
In the case of accesses, inspections and checks by public officials at the Company, the Supervisory Board must be notified immediately.

7.2. Gifts and other forms of benefits
By virtue of the principle of integrity on which the Company bases its reputation, employees and collaborators must not accept, even during the festivities, money, rebates, contributions, gifts of excessive value and other benefits related to their professional activities, which may be considered illegal, unethical or compromising.
For no reason, gifts must be given to officials of companies with whom the company has business relationships, nor to persons identifiable as Public Officials or persons in charge of a public service.
No contributions should be made that could be considered illicit to political parties or to candidates for public office.
Company employees will not accept expensive gifts or gifts (except gifts of symbolic value) from suppliers, customers and other persons with whom the Company is in business dealings.
In any case, employees and collaborators refrain from practices that are not permitted by law, by commercial practices or by any ethical codes of companies or bodies with which they have relationships, and the company therefore opposes and condemns any form of corruption of subjects external to the company, including forms of advantage to the company deriving from illicit mediations with Public Officials and Public Service Officers.

7.3. Commercial relationship with the Public Administration
In the context of any business negotiation, of a request or relationship with the Italian and / or foreign Public Administration, no conduct should be held for any reason to illegitimately influence the decisions of Public Officials or Public Service Officers, at the order to obtain the Company an undue or illicit profit or advantage.

7.4. Use of information systems of the Public Administration
It is forbidden the alteration or intent to alter the functioning of a computer or telematic system of the Public Administration, as well altering or trying to alter the data therein contained, or rather the insertion of false data.

7.5. Funding, contributions, grants and public disbursements
It is forbidden to address contributes, subsidies or loan to different ends than those for which they were eventually granted for by the Government or other public national and foreign body. The Company condemns the conduct aimed at obtaining, by the State or other national and foreign public Institution, any type of contribution, financing, subsidized loan or other disbursement of the same type, by means of declarations and / or documents for the purpose altered or falsified, or by means of information omitted or, more generally, by means of artifice or deception, including those made by means of an information or electronic system, aimed at misleading the provider.

8. RELATIONSHIPS WITH POLITICAL PARTIES, TRADE UNIONS, AND ASSOCIATIONS
The Company undertakes to establish and maintain a constant collaboration with the trade associations and trade unions on the basis of principles of correctness and transparency, within the legislative provisions and provisions contained in the applicable collective bargaining.
The Company does not make any kind of contributions, directly or indirectly, to political parties, movements, committees and political and trade union organizations, associations of interests, or to their representatives or candidates, both in Italy and abroad, excluding contributions due on the basis of the legislation.
The Subjects cannot carry out political activities at the Company's headquarters or use their goods or equipment for this purpose. They must also clarify that any political opinion expressed by them to third parties is strictly personal and do not therefore represent the Company's position.

9. MONEY LAUNDERING PREVENTION
The Company requires maximum transparency in commercial transactions and in relations with third parties, in full compliance with national and international regulations regarding the fight against the phenomenon of money recycling.
As a result, the Subjects may not establish business relationships on behalf of the Company with partners or suppliers or third parties who do not give guarantees of good repute and do not enjoy a good reputation or whose name is associated with events related to money laundering.
All financial transactions must be adequately justified in contractual relations and must be carried out by means of payment that guarantee their traceability.
The Company shall maintain business relationships exclusively with customers and suppliers of reputable reputation, who perform legitimate business activities and whose profits come from legitimate sources. Each business unit must have appropriate measures to ensure that forms of payment are not accepted when identified as an illegal money laundering tool. The Company is committed to the full compliance with all the anti-money laundering laws worldwide, including those that require the reporting of suspicious transactions in cash or otherwise. In particular, as governed by the Italian law, the Company is subject, among other laws and regulations, to the provisions of Law 197/1991 and Legislative Decree 231/2007 which incorporate the principles contained in the reference directives of the European Union on Anti-Money Laundering and Safeguarding the Integrity of the Financial System.
The integrity and reputation of the Company may be severely affected by the failure to identify transactions aimed at money laundering. Illegal money laundering is the process by which sums obtained through illicit means or intended for illegal purposes are converted in such a way as to be regularly acquired or not traceable for the purpose of identifying those who use them for illicit purposes. Money laundering is traditionally associated with criminal activities and remains an element of central investigation by law enforcement agencies. However, since 2001, the level of attention on money laundering practices used for the transfer of money destined for terrorist activities has been raised by the authorities; consequently, many legal systems, including that of the United States, have strengthened their anti-money laundering legislation.
Recycling typically occurs by converting cash or cash equivalent values from one form to another, for example from personal checks to money order. Examples of payments or suspicious transactions attributable to money laundering include multiple money orders or travel checks issued by multiple parties, large cash payments or payments made by check on behalf of a customer by an unknown third party.

10. IMPLEMENTATION, CONTROL AND SANCTION METHODS

10.1. Supervisory Body
The Supervisory Body is the body in charge of supervising the observance of the current Code and reporting any need for revisions of it.
In the carrying out of its duties, the Supervisory Body has free access to useful business data and information and will coordinate with other bodies and business functions for the correct implementation and proper supervision of the principles of the Code.
The Subjects must be fully collaborative with the Supervisory Body to help the carrying out of its duties.

10.2. Knowledge and implementation
This Code is brought to the attention of all the Subjects by the Supervisory Body.
Potential doubts related to the Code must be promptly analysed with the Supervisory Body.
All those who have dealings with the Company, without distinction or exception, in Italy or abroad, are committed to enforce the principles and rules of this Code. In no way, acting for the benefit of the Company can justify the adoption of behaviours that are in contrast with these principles and rules. In particular, all the Subjects are required to operate so that these principles and rules are properly applied.

10.3. Internal reporting
The supervision of the implementation of the Code and of its application is responsibility of all the Subjects, who are indiscriminately and individually required to report any non-compliance or failure to apply to the Supervisory Body.
Anyone who becomes aware of violations of the principles of this Code and / or the operating procedures that make up the Model or generally the internal control system, must promptly report them to the Supervisory Body.
All the Subjects are required to report promptly and confidentially to their function manager and / or Supervisory Board, any information they have come to know in the performance of their work activities, about violations of legal regulations, of the Code or other company provisions that may, for any reason, involve the company. Functional managers must monitor the work of their employees and have to inform the Supervisory Body. To this end, the rules established in the general part of this Model are applied.

10.4. Code changes and revisions
Any change and/or integration to this Code must be applied with the same procedures used for its initial approval.

10.5. Sanctions
Compliance with the rules and principles of the Code must be considered an essential part of all relations maintained by the Company.
The violation of the principles established in the Code, in the Model and in the procedures established by internal protocols compromises the fiduciary relationship between the Company and its directors, employees, consultants, collaborators in various capacities, customers, suppliers, commercial and financial partners.

10.6. Whistleblowing Procedure
Reports of possible violations, which have criminal relevance, can and must be made by all those interested by the organization, at any level (employees, managers, internal control bodies, customers and suppliers), who are required to report promptly and confidentially any information that they have come to know in the performance of their duties or activities, with reference to violations of the law or regulations, of the Code of Ethics, of the Model 231 (MOGC) or of other corporate provisions or to report any pressure to do so.
The managers of the reporting procedure are required to direct their collaborators to comply with the Code, to report any violations, to repress retaliation or pressure attempts, promptly reporting such events to the higher or control bodies, through the reported communication channels organization.
In order to guarantee the effectiveness of Model 231, in compliance with the confidentiality and individual personality of the parties concerned, the Company prepares information channels through which those who, for whatever reason, are involved in the business or are involved in it, can report freely, directly and confidentially to the Supervisory Body and Top Management: odv@caem.it; whistleblowing@caem.it;

10.7. Method of dissemination of the Code
A copy of this Code is given to all the employees of the Company through the methods specified by the Model.
All the employees are informed and trained about the contents of the Code through an adequate formation.
